As a Purchase Agreement Advisory Senior Manager, you’ll focus on middle-market transactions, serving dynamic organizations with experienced professionals who bring a full range of advisory services to validate, optimize and create value for the Transaction Advisory Practice – all with the resources, environment, and support to help you excel. The PAA team works alongside our diligence team to advise buyers and sellers on the accounting and financial aspects of purchase agreements. We give guidance on the closing mechanisms (closing balance sheet / locked box), price adjustments and key value drivers (working capital, cash, indebtedness) that determine the final price paid and received on deals, as well as the accounting representations and warranties, earn-outs, dispute resolution clauses, and the financial definitions underpinning agreements.
From day one, you’ll be empowered to help clients make the moves that will help them achieve their vision and help you achieve more, confidently. You will play a key role in the latter stages of the deal process, for multiple clients in a wide variety of industries. Work closely with diligence partners and staff and play a key role in growing this new service offering. The role will include exposure to 100+ transactions per year. Plan, execute, direct and complete purchase agreement advisory work for financial and corporate strategic buyers and sellers across a variety of industries.
Your day-to-day may include:
- Review the accounting aspects of legal documents.
- Prepare corresponding financial analysis and illustrations.
- Collaborate with our financial diligence teams.
- Provide negotiation support to our clients and their legal counsel.
- Advise on post-closing true-ups and disputes.
- Develop and maintain strong relationships internally and externally, and cross-sell services.
- Communicate (verbally and in writing) externally with clients and their legal counsel, and internally with all levels of the organization to successfully accomplish objectives portraying knowledge and confidence.
- Develop thought leadership and present to external audiences.
- Meet or exceed targeted billing hours (utilization).
- Manage, develop, train, coach and mentor staff on projects and assess performance for engagement and year-end reviews.
- Lead and support business development activities, such as identification, proposal development and other pursuit activities at clients.
- Interview campus and/or experienced candidates.
- Other duties as assigned.
You have the following technical skills, qualifications, and abilities:
- Bachelor's degree in Accounting, Finance or related field required, Advanced degree preferred.
- Minimum 10 years of related work experience in a similar consulting practice or function servicing cross-industry clients at a national level required.
- Industry recognized professional certification required, CPA or related license/certification preferred.
- Strong current knowledge in US GAAP, GAAS, SEC Reporting, transaction advisory services or mergers and acquisitions required.
- Ability to manage multiple priorities and simultaneous projects in a rapidly growing practice.
- Strong leadership, business development, recruitment, training, and mentoring skills.
- Excellent written, presentation, leadership, and interpersonal communication skills.
- Can travel as needed. Expected travel is up to 25%.
The base salary range for this position in the firm's New York office is between $202,500 and $337,500.
