Position Summary:
- The M&A Transactional Group is comprised of attorneys who draft, review, negotiate, and finalize engagement documentation for the shareholder representative and escrow and payments business lines.
- The Associate Attorney position (also referred to generally as “M&A Counsel”) requires experienced attorneys who demonstrate a strong and diverse set of skills that make them effective deal lawyers.
- M&A Counsel:
- Are assigned to work on deals on which SRS Acquiom is engaged to provide shareholder representative or Acquiom financial services (“Deals”);
- Coordinate with other relevant SRS Acquiom staff and the client and their counsel;
- Review, negotiate, and finalize Deal documents in accordance with SRS Acquiom-approved procedures; and
- Otherwise, Shepherd deals up to and through the closing of such Deal.
- M&A Counsel also provides support to SRS Acquiom Business Development Representatives (“BD Reps”), Relationship Managers (“RMs”), Relationship Associates (“RAs”), and other staff as appropriate, including coordination of escalations to the Managing Director, General Counsel, Operations, and Product.
This position can be fully US-based remote, and may require some travel.
The salary range for this position is $120k - $125k depending on experience level.
Primary Responsibilities:
- Primary responsibility for a pro rata share of Deals.
- Coordinate with the Deal team (BD Reps, RMs, and RAs) and facilitate escalations of compromises or unique responsibilities on Deals.
- Interface with Deal clients and their counsel.
- Review, negotiate, and finalize Deal documents (acquisition agreements, SRS engagement letters, escrow agreements, paying agent agreements, non-disclosure agreements, and other related transactional agreements).
- Maintain expertise in M&A market terms and complete knowledge of SRS Acquiom’s approved procedures and guidance for Deal documents.
- Assist with maintaining and updating intake procedures and training new intake attorneys.
- Other duties as assigned.
Required Qualifications & Skills:
- J.D. from a nationally ranked, accredited law school with strong academic credentials.
- Licensed to practice law in at least one state
- Requisite years of legal experience are typically 1-2 years for the Associate Attorney position.
- Excellent, prompt, and friendly customer service and communication skills.
- Strong attention to detail and ability to man
