About the role

Job Description

The AVP, Associate Counsel (Strategic Transactions) will engage in a broad range of support for LPL Financial’s strategic transactions. The position reports to the SVP, Associate General Counsel, Strategic Transactions within the Corporate Law group of LPL’s Legal, Policy & Community Impact Department. This attorney will routinely interface with in-house colleagues, outside counsel and executives in support of LPL’s mergers and acquisitions activity.

The attorney will advise in connection with a range of transactional and financing matters, with a focus on mergers and acquisitions transactions in connection with the company’s liquidity and succession solutions.

Responsibilities:

  • Provide legal advice in support of merger and acquisition and other strategic transaction opportunities, including minority equity investments 

  • Provide support for advisor practice acquisitions, capital financing initiatives, and succession planning efforts 

  • Draft and negotiate letters of intent, term sheets, definitive acquisition agreements and closing documentation

  • Contribute to the development and improvement of forms and procedures related to LPL’s internal legal acquisition processes 

  • Coordinate with and manage external counsel regarding strategic transactions

  • Coordinate with colleagues throughout the firm, including in the corporate development, finance and legal departments, in managing transactions from letter of intent to post-closing

  • Additional support responsibilities (as needed): 

    • Assist with capital markets transactions, including debt financing activities 

    • Support investor relations and corporate communications tasks 

    • Provide administrative and logistical support for board of directors and committee matters

Requirements:

  • The successful candidate will have a minimum of 2 to 4 years of transactional experience at a sophisticated law firm or corresponding in-house experience with a sophisticated purchaser. Financial services industry is a plus.

  • Juris Doctorate from an accredited institution of higher education as well as a state bar membership in good standing.

  • Substantial transactional expertise in mergers and acquisitions and/or venture capital financing transactions 

Core Competencies:

  • Strong organizational and project management skills, including the ability to handle multiple transactions and manage deadlines in a fast-paced and demanding work environment

  • Excellent drafting, negotiating, and communication skills

  • Ability to interface well with business executives in real-time to problem-solve and provide independent judgment

Pay Range:

$141,800-$236,400/year


 

Actual base salary varies based on factors, including but not limited to, relevant skill, prior experience, education, base salary of internal peers, demonstrated performance, and geographic location.
