Job Description
Primary Function of Position:
The position offers legal advice on Intuitive's ESG and SEC initiatives by collaborating with various departments worldwide. The Senior Counsel will support governance aspects and compliance, including Board of Directors support. They review and prepare internal and external ESG and SEC reports. The role involves advising on environmental and corporate regulations, as well as new legal trends.
Roles and Responsibilities:
- Give advice on ESG and SEC reporting to internal stakeholders. Identify risks and suggest solutions. Stay updated on regulations and best practices.
- Ensure open and effective lines of communication and information reporting at all levels of the organization on key ESG topics;
- Offer advice on SEC Climate Disclosure Rules, SASB Standards, EU Taxonomy, CSRD, REACH, RoHS Directive, and California Proposition 65. Additionally, provide guidance on emerging chemicals.
- Provide guidance on corporate governance, compliance with SEC regulations, Nasdaq listing requirements, and various financial filings. Includes advising on board matters, proxy statements, ESG reports, Section 16 compliance, and more.
- Assist in environmental and ESG issues in responses to public tenders and government contracting on a global basis;
- Provide advice on core sustainability topics including waste, water, energy, and climate, as well as global ESG frameworks;
- Direct or support risk assessments, audit activities, third-party relationship management, due diligence, internal investigations, and remediation activities; and
- Advise on various ESG topics and manage teams in executing programs. Includes climate risk strategy, material development, and project management.
Qualifications
Skills and Job Requirements:
- BS/BA and JD degree required.
- At least eight years legal and compliance experience.
- - Good grasp of U.S. and international environmental laws, such as SEC Climate Disclosures and EPA regulations. - Familiar with California Climate regulations, EU Directive on Sustainability Reporting, and other ESG laws.
- Familiarity with voluntary reporting frameworks such as the Carbon Disclosure Project, TCFD, and TNFD.
- Previous legal experience in product development, manufacturing, and supply chain preferred. Experience with REACH, RoHS, California Proposition 65, and emerging chemicals is a plus.
- Prior experience advising public companies on the Exchange Act, Securities Act, and Nasdaq listing requirements.
- Ability to strategize to solve issues efficiently and build relationships with senior management and other departments. This includes Supply Chain, Legal, and HR, while handling changing priorities.
- Exceptional organizational skills, problem-solving abilities, and attention to detail.
- Ability to manage multiple tasks simultaneously within a rapidly changing environment.
- Exceptional writing, presentation, and oral communication skills.
- Ability to develop and implement cross-functional processes.
- Some travel will be required.
- The preference is for candidates that can come to Sunnyvale or Peachtree.
