Micron’s Legal Department is poised for growth and innovation, and we are seeking an Assistant General Counsel of Securities. This person will report directly to the Senior Director, Corporate Legal and will be independent and proactive, partnering cross-functionally with teams such as Corporate Development, Accounting, Finance, Investor Relations, External Communications, and People.
What You’ll Do:
Provide legal support for securities law function, including preparing, reviewing, and filing 10-Ks, 10-Qs, 8-Ks, proxy statements and Section 16 filings; ensuring compliance with SEC rules and regulations
Advise on investor relations matters, including Regulation FD compliance, earnings call materials, and insider trading matters
Provide legal support for Micron’s corporate governance program, including support for the Board of Directors, stockholders and ESG-related matters, and annual stockholder meetings, including preparing agendas, scripts, presentations, and minutes
Work closely with and provide legal advice to Micron’s Corporate Finance, Treasury, and Investor Relations teams, including on capital markets transactions
Support the corporate development team, including structuring, drafting, and negotiating term sheets for actual and potential M&A, partnering, and other strategic transactions, and participating in activities related to identifying, evaluating, and negotiating strategic collaborations and M&A.
Supervise corporate paralegal in Micron’s entity management program
What We’re Looking For:J.D. degree from an accredited law school, along with active membership in at least one state bar
8+ years experience in corporate law, including M&A, capital markets transactions, securities law and/or executive compensation.
A servant leader with a desire to be a part of a strong, well aligned legal leadership team.
Excellent interpersonal and communication skills, including the ability to collaborate, compromise, demonstrate diplomacy, and otherwise interact well with senior management
Highly disciplined, able to make independent decisions and work with limited supervision while excelling in a fast-paced, dynamic environment
Attentive to detail and able to produce quality work product
Able to handle and advance multiple projects in a multi-stakeholder environment
Inquisitive nature and comfortable challenging current practices
The US base salary range that Micron Technology estimates it could pay for this full-time position is:
$142,000.00 - $318,000.00Our salary ranges are determined by role, level, and location. The range displayed on each job posting reflects the minimum and maximum target for new hire salaries of the position across all US locations. Within the range, individual pay is determined by work location and additional job-related factors, including knowledge, skills, experience, tenure and relevant education or training. The pay scale is subject to change depending on business needs. Your recruiter can share more about the specific salary range for your preferred location during the hiring process. Additional compensation may include benefits, discretionary bonuses and equity.
