As Corporate Counsel you will help develop our M&A legal strategy, ensuring Figma stays ahead in a constantly evolving tech landscape.

This is a full time role that can be held from one of our US hubs or remotely in the United States.

What you’ll do at Figma:

  • Lead and manage legal aspects of M&A transactions, including term sheet negotiations, deal structuring, running deal processes and diligence, assisting with antitrust and other regulatory processes, drafting and negotiating definitive documents, facilitating closing items, and addressing post-closing integration and indemnification issues
  • Coordinate with internal teams—including corporate development, product, accounting, finance, tax, and people operations—as well as external advisors to facilitate the smooth execution of transactions
  • Provide legal advice and support for Figma’s venture capital investments
  • Provide support and advice relating to the Company’s expanding international operations, including creating and managing corporate subsidiaries
  • Build and maintain processes and infrastructure, such as playbooks, templates, metrics, and self-serve tools, to help scale the legal function
  • Work on other corporate and securities projects including public company readiness workstreams

We'd love to hear from you if you have/are:

  • 6+ years of legal experience at a top tier law firm and/or in-house legal department
  • A J.D. and are a current member in good standing of at least one U.S. state bar
  • Experience working on a variety of M&A transactions and venture capital deals
  • Comfortable with ambiguity and fast-paced environments.
  • Proactive, driven, and adaptable; you should be able to prioritize and balance multiple projects, path-find, and recalibrate advice in view of shifting priorities, legal developments, and risk tolerance

While not required, it’s an added plus if you also have/are:

  • Looking to expand your skillset and work on non-M&A matters such as public company readiness, corporate governance and securities matters
  • Excellent interpersonal skills and business judgment; an ability to distill complex issues and concisely explain why it matters.
  • A strong self awareness around what you know and what you don’t know. You should have a sense of curiosity and desire to learn what you don’t know

Pay Transparency Disclosure

If based in Figma’s San Francisco or New York hub offices, this role has the annual base salary range stated below.  

Job level and actual compensation will be decided based on factors including, but not limited to, individual qualifications objectively assessed during the interview process (including skills and prior relevant experience, potential impact, and scope of role), market demands, and specific work location. The listed range is a guideline, and the range for this role may be modified. For roles that are available to be filled remotely, the pay range is localized according to employee work location by a factor of between 80% and 100% of range. Please discuss your specific work location with your recruiter for more information.
